1. Introduction

Welcome to Rooster Multimedia. By accessing our website and services, you agree to comply with and be bound by the following terms and conditions. Please read them carefully. If you do not agree with any part of these terms, you should not use our services.

2. Services

Rooster Multimedia provides web design, development, and related services (the "Services"). By engaging our Services, you agree to the terms and conditions outlined in this document.

3. Payment Terms

3.1 **Quotes and Estimates:** All quotes and estimates provided are valid for 15 days from the date of issue. Prices may vary after this period.

3.2 **Deposits:** A non-refundable deposit of 50% is required to initiate any project. The deposit amount will be specified in the project proposal or agreement.

3.3 **Payment Schedule:** Payment terms and schedules will be detailed in the project proposal or agreement. Full payment is due upon project completion, unless otherwise specified.

3.4 **Late Payments:** Late payments may be subject to a late fee of 15% per month.

4. Intellectual Property

4.1 **Ownership:** Upon full payment, Rooster Multimedia grants the client a non-exclusive, perpetual license to use the final deliverables for the agreed-upon purpose. All other rights, including ownership of the source files and intellectual property, remain with Rooster Multimedia.

4.2 **Third-Party Materials:** Any third-party materials incorporated into the project will be subject to their respective licenses. The client is responsible for ensuring compliance with these licenses.

5. Client Responsibilities

5.1 **Content Provision:** The client is responsible for providing or purchasing all content, including text, images, and other media, required for the project. The client warrants that they have the right to use such content.

5.2 **Timely Feedback:** The client agrees to provide timely feedback and approvals during the project. Delays in feedback may result in project timeline adjustments.

6. Revisions and Changes

6.1 **Revisions:** The project includes [2] rounds of revisions. Additional revisions may be subject to additional fees.

6.2 **Scope Changes:** Any changes to the project scope after the agreement has been signed may result in additional charges and timeline adjustments.

7. Confidentiality

Rooster Multimedia agrees to keep all client information confidential and not disclose it to any third party without the client's consent, except as required by law.

8. Warranties and Liabilities

8.1 **No Warranty:** Rooster Multimedia provides its services "as is" and without any warranties, express or implied. We do not guarantee that the deliverables will be error-free or meet specific client expectations.

8.2 **Limitation of Liability:** In no event shall Rooster Multimedia be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of the use or inability to use the services.

9. Termination

Either party may terminate the agreement upon written notice if the other party breaches any material term and fails to remedy the breach within [14] days of notice. The client will be responsible for payment for all work completed up to the termination date.

10. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of Atlanta, Georgia. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Atlanta, Georgia.

11. Changes to Terms and Conditions

Rooster Multimedia reserves the right to modify these terms and conditions at any time. Clients will be notified of significant changes, and continued use of the services after such notification will constitute acceptance of the changes.
